Company Formation Characteristics
In Nevis, there are 2 types of international companies available for incorporation: International Business Companies (IBCs) which are incorporated under the Nevis Business Corporation Ordinance 1984, and Limited Liability Companies (LLCs) which are incorporated under the Nevis Limited Liability Ordinance 1995. The regulatory authority for both Nevis LLCs and IBCs is the Nevis Financial Services Regulation and Supervision Department.
Nevis LLCs' and IBCs' characteristics include:
- An IBC or LLC incorporated in Nevis must maintain at all times a registered agent and a registered office in Nevis;
- There are NO reporting requirements for Nevis IBCs and LLCs;
- Companies are NOT required to file annual returns or to divulge information relating to ownership;
- The minimum number of shareholders required for a Nevis IBC is one;
- Shareholders, Directors and other officers of the Nevis IBC can reside anywhere and be of any nationality;
- The Nevis LLC recognizes a single member LLC; there are NO limitations on the number of members;
- A foreign entity can easily be re-domiciled as a Nevis LLC or IBC;
- Bearer Shares are allowed (however generally discouraged); where bearer shares are issued, they must be held in the custody of an approved custodian (usually the registered agent).
